1. Acceptance of Terms

By accessing or using cece ai ("cece", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and cece ai. Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference.

2. Description of Service

cece ai is an AI-powered email assistant that helps small business owners manage email communications by:

  • Receiving and classifying incoming emails (intent, sentiment, urgency)
  • Analyzing email content using AI (Anthropic Claude and OpenAI GPT-4o)
  • Generating draft responses based on your business information and preferences
  • Sending approved responses on your behalf (if you enable autonomous mode)
  • Building a knowledge base about your business by learning from emails

3. User Accounts

3.1 Account Creation

To use cece, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Be at least 18 years old (or the age of majority in your jurisdiction)
  • Use one account per business entity (no account sharing)
  • Notify us immediately of any unauthorized account access

3.2 Account Responsibilities

You are solely responsible for all activity conducted through your account, including any emails sent by cece on your behalf. You must not share your account credentials or allow others to access your account.

4. Acceptable Use Policy

You agree to use cece in compliance with all applicable laws and regulations. You agree NOT to use the Service to:

  • Send spam, unsolicited commercial emails, or bulk marketing messages in violation of CAN-SPAM or similar laws
  • Engage in fraudulent, deceptive, misleading, or illegal activities
  • Violate the privacy rights of others or collect personal information without consent
  • Infringe on intellectual property rights, trademarks, or copyrights
  • Transmit malware, viruses, worms, or other harmful code
  • Harass, threaten, abuse, defame, or harm others
  • Impersonate others or misrepresent your affiliation with any person or entity
  • Attempt to circumvent security measures, rate limits, or access controls
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use the Service for competitive analysis or to build a competing product

We reserve the right to investigate violations of this Acceptable Use Policy and to suspend or terminate accounts engaged in prohibited activities.

5. AI-Generated Content

5.1 AI as a Tool, Not a Replacement

cece uses artificial intelligence to generate draft email responses. All AI-generated content is provided as a suggestion only. You are solely responsible for:

  • Monitoring AI-generated responses through your dashboard
  • Ensuring accuracy, appropriateness, and compliance of all emails sent via cece
  • Correcting errors, inaccuracies, or inappropriate suggestions
  • Making final decisions about what to send to customers
  • Compliance with applicable email marketing laws (CAN-SPAM, GDPR, CASL, etc.)

5.2 No Warranty of Accuracy

You acknowledge that AI-generated content may contain errors, inaccuracies, hallucinations, inappropriate language, or unsuitable suggestions. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated responses. Use of AI-generated content is at your own risk.

5.3 Business Knowledge Base

cece learns from your emails by extracting general facts about your business (e.g., FAQs, services, policies) and storing them in a knowledge base. This knowledge base is used to improve future responses. You can view, edit, or delete knowledge entries at any time through your dashboard. For more information, see our Privacy Policy.

6. Email Processing and Permissions

By using cece, you grant us permission to:

  • Access, receive, and process emails sent to your configured business email addresses
  • Analyze email content using third-party AI providers (Anthropic, OpenAI) as described in our Privacy Policy
  • Store emails and extracted business knowledge as described in our data retention policies
  • Send emails on your behalf (when you enable autonomous mode or approve drafts)

You represent and warrant that:

  • You have the legal right to forward customer emails to our Service
  • You will comply with all applicable email privacy laws in your jurisdiction
  • You will inform your customers that their emails are processed by an AI assistant (cece includes this disclosure in every outbound email)
  • You will honor opt-out requests from customers who do not want AI processing

7. Meeting Scheduling and Auto-Confirmation

7.1 Google Calendar Integration

When you connect your Google Calendar to cece, you authorize us to:

  • Use read-only free/busy and event timing information to check your availability
  • Create calendar events on your behalf only when you authorize read-write scheduling access and instruct cece to schedule meetings
  • Send calendar invitations to meeting attendees using your Google Calendar owner email address when events are created

Your Google Calendar owner email address will be shared with Google's Calendar API when cece creates calendar events. This is required by Google's API to properly associate events with your calendar and send invitations on your behalf. No other third parties will receive your calendar owner email address unless required by the calendar invitation process.

7.2 Auto-Confirmation Behavior

When auto-confirmation is enabled for meeting scheduling, cece will:

  • Automatically confirm meeting requests that match your availability
  • Create calendar events in your Google Calendar without requiring manual approval
  • Send confirmation emails and calendar invitations to attendees on your behalf
  • Add the meeting to your calendar immediately upon confirmation

You acknowledge that:

  • Auto-confirmed meetings are binding commitments made on your behalf
  • You are responsible for monitoring auto-confirmed meetings through your calendar and dashboard
  • You may need to manually cancel or reschedule auto-confirmed meetings if they are inappropriate or conflicting
  • CC'ing you on meeting confirmations does not constitute explicit approval — the meeting is already confirmed and added to your calendar when the confirmation email is sent

You can disable auto-confirmation at any time through your account settings. When auto-confirmation is disabled, cece will draft meeting confirmations for your manual review and approval before sending.

8. Data and Privacy

Your use of the Service is governed by our Privacy Policy. By using cece, you consent to the collection, use, and sharing of your data as described in the Privacy Policy. You are responsible for ensuring that your use of cece complies with applicable data protection laws (GDPR, CCPA, etc.) in your jurisdiction.

9. Fees and Payment

9.1 Free Trial

New accounts receive a 14-day free trial with full access to the Service. The trial period begins when you create your account and activate email processing.

When your trial expires, access to the dashboard and email processing features will be restricted until you subscribe to a paid plan. Your data (emails, knowledge base, and account settings) will be retained for 90 days after trial expiration, allowing you to subscribe and regain full access. After 90 days of inactivity, your data may be permanently deleted.

9.2 Subscription Tiers and Pricing

cece offers monthly subscription tiers. If annual billing is exposed at checkout, annual pricing is shown before purchase and bills yearly in advance:

  • Individual: $88/month
  • Small Team: $249/month
  • Growth: $599/month
  • Business: $1,499/month

Each tier includes different action limits and features. Detailed plan comparisons are available on the pricing page. Prices are subject to change with at least 30 days' notice to active subscribers.

9.3 Billing, Renewals, and Payment

Paid subscriptions are processed by Stripe and renew automatically unless cancelled. Monthly subscriptions bill monthly in advance. If annual billing is offered at checkout, annual subscriptions bill yearly in advance and renew each year unless cancelled before renewal.

  • Stripe collects and stores payment information; cece does not store full card numbers
  • After any free trial, billing begins automatically unless you cancel before the trial ends
  • You may cancel your subscription at any time through account settings, the Stripe Billing Portal, or by contacting support
  • Cancellations take effect at the end of the current billing period and stop future renewals
  • No refunds are provided for partial months, partial years, or unused portions of the service except where required by law
  • If subscription payment lapses, your access to dashboard features may be restricted, and your data will be retained for 90 days as described in section 8.1

9.4 Admin-Granted Subscriptions

At our sole discretion, cece administrators may grant complimentary or discounted subscriptions to selected users for promotional, partnership, or other business purposes. Admin-granted subscriptions are subject to the same Terms of Service and may be modified or revoked at any time with reasonable notice.

9.5 Billing and Renewals

  • Subscriptions are billed in advance for the billing cycle selected at checkout
  • Monthly subscriptions renew automatically each month; annual subscriptions renew automatically each year if annual billing is selected
  • You may cancel your subscription at any time through account settings
  • Cancellations take effect at the end of the current billing period
  • No refunds are provided for partial months or unused portions of the service
  • Failure to pay may result in service suspension or termination

9.6 Usage Limits and Overage Charges

Each subscription plan includes a monthly action limit. Actions include emails processed, emails sent, quotes generated, meetings scheduled, and other automated tasks performed by cece on your behalf.

  • Your current usage and remaining actions are displayed on your dashboard at all times
  • You will receive email notifications when you reach 75%, 90%, and 100% of your monthly action limit
  • If you exceed your monthly action limit, additional actions are billed at $10 per 500 actions (or fraction thereof)
  • Overage charges are calculated at the end of each billing cycle and charged to your payment method on file
  • You may upgrade your plan at any time to increase your action limit and avoid overage charges
  • cece will continue to operate normally when you exceed your limit — your service is never interrupted, but overage charges will apply

By continuing to use the Service after reaching your action limit, you acknowledge and agree to the applicable overage charges. You can monitor your usage in real time through the dashboard action counter.

9.7 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments. Stripe may calculate and collect applicable taxes at checkout or renewal. You are responsible for paying any taxes associated with your subscription.

10. Intellectual Property

10.1 Our Ownership

The Service, including all software, algorithms, user interfaces, text, graphics, logos, and other content, is owned by cece ai and protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.

10.2 Your Content

You retain ownership of all emails, business information, and content you provide to cece ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to process Your Content solely for the purpose of providing the Service as described in these Terms and our Privacy Policy.

10.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide license to use that feedback without compensation or attribution.

11. Termination

11.1 Termination by You

You may terminate your account at any time through account settings or by contacting support@meetcece.ai. Upon termination, your access to the Service will cease at the end of your current billing period. You may also request immediate account deletion, in which case your data will be permanently deleted within 30 days (subject to legal retention requirements).

11.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice, if:

  • You violate these Terms of Service or our Acceptable Use Policy
  • You engage in fraudulent, illegal, or abusive activity
  • You fail to pay required fees after reasonable notice
  • Your use of the Service poses security, legal, or reputational risks
  • We are required to do so by law or court order

11.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Data retention and deletion will occur as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will remain in effect.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, secure, error-free, or virus-free
  • Warranties regarding the accuracy, reliability, or completeness of AI-generated content
  • Warranties that the Service will meet your specific requirements or expectations

AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR INAPPROPRIATE SUGGESTIONS. USE OF AI-GENERATED CONTENT IS AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CECE AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, goodwill, or business opportunities
  • Any damages resulting from errors or inaccuracies in AI-generated content
  • Any damages resulting from unauthorized access to or alteration of your data
  • Any damages resulting from third-party conduct or content

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless cece ai, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms of Service
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including privacy or intellectual property rights
  • Any emails sent through cece on your behalf
  • Any content or information you provide to the Service

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except where prohibited by law. Arbitration may be conducted remotely. You waive your right to participate in class action lawsuits or class-wide arbitration.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, including changes that affect connected Google Calendar features or how the Service uses Google user data as described in our Privacy Policy, we will:

  • Notify you by email at least 30 days before the changes take effect when feasible and legally required
  • Post a prominent notice in your account dashboard or other in-product surface
  • Update the version, effective date, and "Last Updated" date at the top of this page
  • Clearly identify changes that affect Google user data before applying them to connected Google Calendar accounts when required by Google policy

Your continued use of the Service after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and cece ai regarding your use of the Service and supersede any prior agreements or understandings.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

17.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
